Please read this Agreement carefully before using the services provided by FYProfit LLC (“FYProfit,” “we,” “our,” or “us”). By accessing or using our website (FYProfit.com), web application, or any integrations with TikTok Shop (collectively, the “Service”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not access or use the Service.

FYProfit is an independent software provider. We are not affiliated with, endorsed by, or officially connected to TikTok, TikTok Shop, or ByteDance Ltd. in any way. TikTok is a registered trademark of its respective owner.

1. Description of Services

FYProfit is a software platform that integrates with TikTok Shop through authorized APIs and permissions granted by the user. The platform provides profit and loss analytics, financial reporting, cost tracking, and operational tooling related to shop performance, sales, ad spend, fees, and user-entered cost data — collectively designed to help TikTok Shop sellers understand their true net profit.

The Service is designed for commercial use by TikTok Shop sellers, brands, and agencies.

2. Eligibility & Account Registration

2.1 Age & Authority

You must be at least 18 years old to use the Service. If you are entering into this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2.2 Account Creation

You must provide accurate, complete, and up-to-date registration information. You are responsible for safeguarding your login credentials and for all activity conducted under your account, whether performed by you or by anyone you share access with.

2.3 Authorized Users

Accounts may include multiple users (seats). You are responsible for ensuring that all users under your account comply with these Terms. Unauthorized sharing of account credentials is prohibited.

3. License & Access

3.1 Grant of License

Subject to these Terms, FYProfit grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.

3.2 Restrictions

Except as expressly permitted, you may not:

• Reproduce, distribute, resell, or create derivative works from the Service
• Reverse engineer, decompile, or attempt to extract source code
• Use the Service to build a competing product or analytics dataset
• Use TikTok-derived data in violation of TikTok’s developer policies
• Sublicense or transfer your rights under these Terms to any third party

3.3 Third-Party Platforms

Use of TikTok Shop remains subject to TikTok’s own terms and policies. We are not liable for TikTok API downtime, inaccuracies, bans, throttling, or policy changes that affect the availability or accuracy of data within the Service.

3.4 Beta Features

Certain features may be labeled “beta” or “preview.” These are provided “as is” without warranty and may be withdrawn at any time without notice.

4. Acceptable Use

You agree not to:

• Violate any applicable laws, regulations, or TikTok developer policies
• Upload or transmit viruses, malware, or any malicious code
• Interfere with or disrupt the Service or its underlying infrastructure
• Attempt unauthorized access to non-public systems or data
• Submit false or misleading registration information
• Harass, abuse, or discriminate against any individual or group
• Use the Service for any unlawful, obscene, or fraudulent purpose

FYProfit reserves the right to terminate your access immediately for any violation of these acceptable use provisions.

5. Data Ownership & Privacy

5.1 Your Data

You retain full ownership of the data you provide or connect to the Service, including TikTok orders, products, ad spend, inventory, and financial data (‘Your Data’).

5.2 License to Process Your Data

You grant FYProfit a limited, non-exclusive license to access, process, and display Your Data solely for the purpose of providing the Service to you. We do not sell your data to third parties.

5.3 Data Use for Service Improvement

FYProfit may compile and analyze aggregated, anonymized results derived from all users to improve the Service. Such compiled data will never be distributed in a manner that identifies you without your prior written consent.

5.4 Financial Data Disclaimer

FYProfit provides profit and loss estimations based on data pulled from connected sources. These figures are for informational purposes only. FYProfit is not a financial advisor and is not responsible for any business or financial decisions made based on data displayed within the Service.

5.5 GDPR & Data Protection

FYProfit acts as a Data Processor with respect to personal data of your end users. Data may be processed on U.S.-based servers. Where required, Standard Contractual Clauses (SCCs) are employed for international data transfers.

5.6 Data Retention & Deletion

Upon termination or verified deletion request, Your TikTok-derived data will be deleted within 30 days; backup copies within 60 days. Data is retained for up to 90 days following account termination unless a longer period is legally required.

5.7 Security

We employ industry-standard safeguards including TLS encryption, AES-256 at rest, role-based access controls, audit logging, and infrastructure monitoring to protect your data.

5.8 Privacy Policy

Our full data practices are detailed in our Privacy Policy at FYProfit.com/privacy, which is incorporated by reference into these Terms.

6. Subscriptions, Fees & Billing

6.1 Plans & Pricing

Current plan details, limits, and pricing are posted at FYProfit.com/pricing. FYProfit reserves the right to modify pricing with reasonable notice.

6.2 Billing

All fees are billed in advance on a monthly or annual basis. Subscriptions automatically renew unless canceled before the renewal date.

6.3 Free Trial

Free trials convert to paid subscriptions unless canceled before the trial period ends. By providing payment information during a trial, you authorize us to charge upon trial expiration.

6.4 Taxes

All fees exclude applicable taxes. You are responsible for any sales, use, value-added, or other taxes applicable to your subscription.

6.5 Refunds

All fees are non-refundable except where required by applicable law. If you cancel mid-period, you will retain access through the end of your paid billing cycle.

6.6 Non-Payment

FYProfit reserves the right to suspend or terminate access to the Service if fees remain unpaid, without further notice or liability.

7. Intellectual Property

7.1 Ownership

FYProfit retains all rights, title, and interest in and to the Service, including all software, designs, trademarks, trade secrets, and proprietary content. These Terms do not grant you any intellectual property rights in the Service beyond the limited license described in Section 3.

7.2 Feedback

Any feedback, suggestions, or ideas you submit regarding the Service (“Feedback”) shall become the property of FYProfit. We may use Feedback freely without restriction or compensation to you.

7.3 Marketing Use of Logos

By using the Service, you grant FYProfit permission to display your company name and logo in marketing materials as a customer reference. You may opt out of this at any time by emailing [support@FYProfit.com].

8. Confidentiality

Each party agrees to maintain the confidentiality of non-public information received from the other party and to use such information only as necessary to fulfill obligations under these Terms. This obligation survives termination of the Agreement.

9. Warranty Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FYProfit DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FYProfit DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT THIRD-PARTY DATA (INCLUDING TIKTOK DATA) WILL BE AVAILABLE, ACCURATE, OR COMPLETE.

FYProfit has no fiduciary duty to you and no control over: which users gain access to the Service; what results you obtain; how you interpret or act upon those results; or the availability of third-party platforms. You release FYProfit from all liability related to your having acquired or not acquired data or results through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) FYProfit SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY; AND (B) FYProfit’S TOTAL LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS IN ANY TWELVE (12) MONTH PERIOD SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU FOR THE SERVICE DURING THAT PERIOD.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless FYProfit LLC, its affiliates, officers, directors, employees, agents, and representatives from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) Your Data; (ii) your use of the Service; (iii) your violation of these Terms; or (iv) your violation of any applicable law or third-party rights.

12. Suspension & Termination

12.1 Suspension

FYProfit may suspend your access immediately and without prior notice if necessary for legal compliance, security concerns, non-payment, or breach of these Terms.

12.2 Termination by You

You may terminate your account at any time via account settings or by contacting us. Termination does not entitle you to a refund of any prepaid fees.

12.3 Termination by Us

FYProfit may terminate your account immediately upon notice for material breach of these Terms that remains uncured after reasonable opportunity to cure.

12.4 Effect of Termination

Upon termination, your license to use the Service immediately ceases. Your Data will be deleted consistent with our Data Deletion Policy. Provisions that by their nature should survive termination — including indemnification, limitation of liability, warranty disclaimers, and confidentiality — shall survive.

13. Third-Party Sites & Services

The Service may integrate with or link to third-party platforms and services. FYProfit makes no representations or warranties about any third-party site or resource and does not endorse the products or services offered by third parties. FYProfit disclaims all responsibility and liability for third-party content, availability, or accuracy. Your use of third-party services is governed by their respective terms.

14. Export Controls & Sanctions

You represent that you are not subject to U.S. government sanctions and will not use the Service in violation of U.S. export control laws or regulations.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

15.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be resolved by binding virtual arbitration in accordance with applicable arbitration rules.

15.3 Venue

To the extent court proceedings are necessary, the exclusive venue shall be the state and federal courts of Delaware.

15.4 Class Action Waiver

To the maximum extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against us.

15.5 Limitation Period

Any cause of action arising out of or related to the Service must be commenced within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred.

16. Modifications to Terms

FYProfit reserves the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice within the Service. Your continued use of the Service after such notification constitutes your acceptance of the updated Terms.

17. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy and Data Deletion Policy, constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, it will be amended to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• No Waiver: Failure to enforce any provision of these Terms shall not be deemed a waiver of future enforcement.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force Majeure: We shall not be liable for failure to perform due to causes beyond our reasonable control, including telecommunications failures, natural disasters, or government action.
• No Agency: No agency, partnership, joint venture, or employment relationship is created by these Terms.
• Notices: Notices to us must be sent in writing to [support@FYProfit.com] or 6130 West Flamingo Rd #3170 Las Vegas NV 89103. Notices to you will be sent to the email address on your account.
